Welcome to VunaPos ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our point-of-sale SaaS platform, website, and related services (collectively, the "Service"). By accessing or using VunaPos, you agree to be bound by these Terms. If you are using the Service on behalf of a business or entity, you represent that you have authority to bind that entity.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any part of our Service, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree, you must not use the Service. We may update these Terms from time to time, and continued use after changes constitutes acceptance.

2. Description of Service

VunaPos provides a cloud-based software-as-a-service (SaaS) solution for retail shops, restaurants, and businesses to manage sales, inventory, customer relationships, analytics, and payment processing. We offer three subscription plans: Starter, Professional, and Enterprise, each with specific features, transaction limits, and support levels as described on our pricing page.

3. Account Registration & Security

You must provide accurate, complete, and up-to-date information when registering. You are solely responsible for maintaining the confidentiality of your login credentials and for any activity occurring under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

4. Subscription Plans, Fees & Payments

All subscription fees are billed in advance on a monthly or annual basis as selected. Fees are non-refundable except as required by law. We may change our pricing upon 30 days’ notice. If you upgrade or downgrade your plan, the new fees will apply from the next billing cycle. You authorize us to charge your provided payment method for all recurring fees and any applicable taxes. Late payments may result in suspension of Service.

4.1 Free Trial

New users may be eligible for a 14-day free trial. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. Cancellation during the trial period will prevent any charges.

5. Cancellation & Termination

You may cancel your subscription at any time via your account dashboard. Cancellation will take effect at the end of the current billing period. We may terminate or suspend your account immediately if you breach these Terms, fail to pay fees, or engage in fraudulent activity. Upon termination, you must cease using the Service, and we may delete your data in accordance with our data retention policy.

6. User Responsibilities & Prohibited Uses

You agree to use the Service only for lawful business purposes. You shall not:

• Use the Service to process illegal transactions, counterfeit goods, or prohibited items.
• Reverse engineer, decompile, or attempt to extract the source code of our software.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload malware, viruses, or harmful code.
• Access or use the Service for benchmarking or competitive analysis without our written consent.

7. Data Privacy & Security

Your use of the Service is also governed by our Privacy Policy. We take reasonable measures to protect your business data and customer information. However, no system is 100% secure. You are responsible for maintaining backups of your critical data. We comply with applicable data protection laws and process personal data as described in our Privacy Policy.

8. Intellectual Property Rights

All intellectual property in the Service, including software, design, trademarks, logos, and content, is owned by VunaPos or its licensors. We grant you a non-exclusive, non-transferable right to access and use the Service during your subscription term. You retain ownership of any data you input, but you grant us a license to use such data to provide and improve the Service.

9. Third-Party Integrations & Payment Processors

VunaPos may integrate with third-party payment gateways, hardware, or applications. We do not control these third parties and are not liable for their performance, security, or fees. Your use of third-party services is subject to their terms. We may receive transaction fees from payment partners, which does not affect your subscription cost.

10. Service Availability & Support

We strive to maintain 99.9% uptime, excluding scheduled maintenance. Support levels depend on your plan (email, priority, or 24/7). We reserve the right to temporarily suspend access for maintenance or emergency updates. We are not liable for delays or interruptions beyond our reasonable control.

11. Limitation of Liability

To the maximum extent permitted by law, VunaPos and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or related to these Terms or use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free from harmful components.

13. Indemnification

You agree to indemnify and hold harmless VunaPos, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, unless the claim qualifies for small claims court. You agree to waive any right to a class action or jury trial.

15. Modifications to Terms

We may update these Terms periodically. Material changes will be notified via email or through your account dashboard. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our prior written consent. These Terms constitute the entire agreement between you and VunaPos regarding the Service.
